(1) | As previously reported, on November 30, 2020, the Reporting Person entered into a loan transaction with Christopher Greenberg pursuant to which Mr. Greenberg loaned $460,000 to the Reporting Person. In connection therewith, the Reporting Person shall have the right to sell and transfer 2,000,000 shares to Mr. Greenberg in full repayment of the loan and Mr. Greenberg shall also have the right to purchase and acquire from the Reporting Person and obligate the Reporting Person to sell and transfer to Mr. Greenberg such 2,000,000 shares in full repayment of the loan. On January 27, 2021, Mr. Greenberg exercised the right to purchase such 2,000,000 shares in full repayment of the loan. |
