Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 1, 2022, Jami L. Satterthwaite submitted her resignation as Chief Financial Officer of Midwest Energy Emissions Corp. (the “Company”), to be effective as of December 30, 2022. Ms. Satterthwaite is resigning for personal reasons and her resignation is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Ms. Satterthwaite will assist the Company to help transition her job responsibilities, both prior to and after her resignation.
